Welcome to Criteria Labs, Inc. By using our website, requesting information, scheduling semiconductor or related device services, or entering into a service agreement with us, you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use our services or site.
1. Acceptance of terms
These terms govern your use of our website and the general framework for our semiconductor and related device services. A separate written service agreement, statement of work, work order, quote, or similar contract signed or accepted by you and Criteria Labs, Inc. ("we," "us," "our") controls specific fees, scope, timing, technical requirements, and duties for each account or project. If that agreement conflicts with these terms on a particular point, the service-specific agreement prevails for that service.
2. Services we provide
We offer semiconductor and related device services, which may include, depending on your agreement:
- Coordination for semiconductor and related device inquiries, requirements, and project details
- Technical documentation handling and customer communication support
- Project status updates, scheduling coordination, and service notifications
- Quality-minded review of details needed to support device-related work
- Account records, project notes, and service documentation where requested or operationally available
- Customer communication regarding timing, changes, exceptions, billing, and service matters
We perform services in accordance with applicable Texas law, federal rules where applicable, industry practices, safety requirements, and the terms of your service agreement.
3. Customer responsibilities
Customers agree to:
- Provide accurate project, technical, contact, timing, device, documentation, and billing information
- Identify regulated, restricted, high-value, hazardous, export-controlled, or otherwise sensitive materials or information before service begins
- Ensure submitted information, materials, and instructions are lawful and may be handled under applicable rules and our service policies
- Provide access credentials, technical context, documentation, or other operational information needed for service work
- Notify us promptly of changes in contact information, project timing, technical details, or account billing information
4. Fees and billing
- Service fees, project fees, technical coordination charges, documentation support fees, and other charges are set out in your service agreement, quote, invoice, or fee schedule
- Unless stated otherwise, fees are earned as described in the applicable agreement or when services are dispatched, performed, attempted, or completed
- Customers remain responsible for costs caused by inaccurate information, missing requirements, access delays, special handling, changed scope, or cancellation after work begins where applicable
5. No guarantee of results
We use professional judgment to coordinate services, review information, and communicate status, but we do not guarantee uninterrupted availability, third-party performance, regulatory outcomes, technical results, manufacturing outcomes, or outcomes of disputes with third parties.
6. Third parties and vendors
We may coordinate with third-party service providers, technical platforms, laboratories, consultants, vendors, or other providers as needed. Their services, warranties, and limitations may apply separately. We are not liable for third-party negligence except to the extent caused by our own failure to exercise reasonable care where required by law or agreement.

- We may change or discontinue site features without notice

To the fullest extent permitted by law, Criteria Labs, Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, business interruption, loss of data, technical delay, or loss of goodwill arising from use of the website or services. Our aggregate liability for claims relating to the website, excluding services governed by a separate written service agreement or mandatory law, shall not exceed the greater of (a) the amount you paid us in the three months preceding the claim or (b) one hundred U.S. dollars. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.
10. Indemnity
You agree to indemnify and hold harmless Criteria Labs, Inc. and its personnel from claims arising from inaccurate technical information, prohibited or improperly submitted materials, unlawful instructions, restricted data, unavailable access, or misuse of the website or services, except where caused by our gross negligence or willful misconduct as finally determined by a court.

13. Changes
We may update these terms by posting a revised version and updating the “Last updated” date. Continued use of the website after changes constitutes acceptance unless applicable law requires additional notice.

If any provision is held invalid, the remainder remains in effect.
